Rudy's Refrigeration is not responsible for any permits or ordinances. Rudy's Refrigeration strives to use the best quality parts and systems available. We reimburse your warranty claims quickly. However, product loss remains a potential occurrence with all commercial refrigeration. If product loss occurs, we will not reimburse these expenses. Please discuss this coverage with your insurance carrier. Replacement parts are available to you in an even exchange for faulty parts covered by your warranty. Shipping charges for warranty parts will be sole responsibility of the buyer. If you purchase parts from your local service person, we will reimburse you our cost for said part(s). Any service to be provided under these warranties must be paid to the service personnel by the customer and Rudy's Refrigeration will reimburse the customer to the extent allowed under these warranties and agreed to, in advance, by Rudy's personnel. The customer may not deduct service bills from any monies owing and due to Rudy's Refrigeration, Inc.

Your Equipment will be delivered by a common carrier. You must inspect Crates and/or Boxes for damage before signing for shipment. (Note any damage on freight bill). You are responsible for the unloading (which means removing the equipment from the truck to ground) and installation of your equipment. Regardless of the care and precautions taken by us, damage can occur in shipping. The common carrier is responsible for such damage. It is your responsibility to report and/or be responsible for damage, which is caused by the common carrier. All boxes and packing materials should be saved, as they, along with the damaged merchandise, will need to be inspected by the freight company before a claim is resolved. If you have any questions, please call Rudy's Refrigeration at 800-499-9424.

ATTENTION:
Rudy's Commercial Refrigeration is not responsible for condensation that forms on the panel surface or joints if cold room cooler and/or freezer is installed in a dead air zone (insufficient ventilation); or if the area where that cooler and/or freezer is installed lacks proper equipment to control humidity and/or temperature. As a result, the dew point in the surrounding area of the cooler and/or freezer has been exceeded. The customer is responsible for 'lowering the temperature' of the cold room and maintaining the required temperature to stabilize the dew point which will prevent further condensation.

INSTALLATION:
Installation of any equipment is not provided.

ATTENTION:
A building permit is required with the installation of equipment. Code requirements can vary in your area. Check with your local building department when obtaining permit.

SCOPE OF WORK:

Work not included within this contract:

  1. Provide or install any electrical services for the cold box refrigeration system, cold box lighting, temperature control wiring. Or any associated or un-associated wiring line voltage, low voltage.

  2. Permits, business license, engineering associated or un-associated with the cold box and its components.

  3. Changes that will occur or effect the delivery or installation due to engineering , permits associated with or un-associated with the project before after or during the execution of this contract or project that add additional to cost Rudy's will paid by you on demand. Customer is responsible for condensate drains.

  4. Merchandise loading or un-loading, you (not Rudy's) will set up interior shelving for merchandise.

  5. Verbal agreements, any agreements made by employees or representatives that are in writing.

  6. Responsibility of equipment provided any installed but not Manufactured by Rudy's.

  7. Food loss

  8. Product loss

  9. Overtime work- all work not before 8.00 am and not after 4.00 pm Monday thru Friday , excluding holidays , birthdays.( this is also includes service )

  10. Acts of god , mi-use , repairs made by others

  11. Follow up activities after signature of proposal include: layout drawing sent to customer,customer shipping information sent to Rudys,list of any additional costs to proposal, and list of materials used

JURISDICTION:
The California State Courts of Contra Costa County shall have exclusive jurisdiction and venue over any dispute arising out of or relating to this agreement and each party hereby consents to the jurisdiction and venue of such courts .This agreement shall be governed by and construed in accordance with the laws of the state of California exclusive of its choice of law principles

WARRANTY:
Rudy's Commercial Refrigeration, Inc. warranty is a limited warranty that is active provided the customer has paid in full all invoices. If the customer is in arrears on payment of any invoices, the warranty is void until the outstanding invoices are paid in full. At that time, the warranty will resume and all conditions of the warranty will be honored.

ACCEPTANCE OF CONTRACT:
The above prices and specifications are satisfactory and are hereby accepted. Cancellation of contract will subject customer to a restocking charge of 25% to 50% of the entire contract price. Any claim or action brought under this Agreement shall be exclusively brought in Contra Costa County or the United States District Court for the State of California. Each party hereto expressly consents to the exclusive jurisdiction of the State of California and specifically waives any objection based upon improper venue with regard to any claim or action brought in Contra Costa County or the United States District Court for the State of California.

ANNUAL PREVENTIVE MAINTENANCE
AND SERVICE AGREEMENT

PREVENTIVE MAINTENANCE

SCOPE OF SERVICE

Scheduled Preventive Maintenance ("PM") inspections will be performed on a regular basis. Rudy's Commercial Refrigeration, Inc. will provide all labor and materials to perform 4 scheduled maintenance inspections per location.

  1. Agreement includes applicable CA State sales and use tax.
  2. The customer will provided access to the equipment and assist in the coordination of scheduling system downtime for equipment servicing. In the event the customer is not ready for service, Rudy's Commercial Refrigeration will assess a "Trip Charge " of DisplayPMTripCharge goes here that includes the cost for travel time to and from the location plus DisplayPMTripMinutes goes here minutes of labor.

    All labor minutes will be charged at the Regular hourly rate of DisplayPMRegularRate1 goes here between business hours of DisplayPMBusinessHoursStart1 goes here and DisplayPMBusinessHoursEnd1 goes here. MATERIALS

The following materials are included in this PM maintenance agreement. There is an additional charge for each item. An invoice will be prepared and submited to the customer after each visit that identifies each item and the total cost of all items:
  1. Co2 for drain, condenser cleaning.
  2. Belts 1X per year
  3. Filters 4X per year

EXCLUSIONS

The following items are not covered by this maintenance agreement:
  1. Emergency repairs and /or services are not covered by the Preventive Maintenance portion of this agreement, but will be provided as part of the Service portion of this Agreement on a Time and Material basis or by special quote as your needs require. The base charge will be waived on repairs performed at the same time of scheduled maintenance.
  2. Electrical service, disconnects, circuit breakers, wiring, conduits from the main panel to each unit or cooler.
  3. Replacement of equipment, motors, components, and refrigerant.

FIELD WORK NOTIFICATION

Rudy's Commercial Refrigeration, Inc. will notify the customer that needed repairs and/or replacements have exceeded DisplayPMNeededRepairs goes here Each notification will detail the estimated materials and labor costs. The customer must approve the materials and labor costs prior to scheduling or completing the work.

RUDY'S COMMERCIAL REFRIGERATION, INC. SERVICE REPAIR TERMS & CONDITIONS

  1. Rudy's Commercial Refrigeration, Inc. warrants that the workmanship included hereunder shall be free from defects for thirty (30) days from date of installation. If any replacement part or item of equipment proves defective, Rudy's Commercial Refrigeration, Inc. will extend to Customer the benefits of any warranty received from the manufacturer. Removal and reinstallation of any equipment or materials repaired or replaced under a manufacturer's warranty but outside the time frame of Rudy's Commercial Refrigeration, Inc.' warranty will be at Customer's expense and at the rates then in effect.
  2. Customer shall permit Rudy's Commercial Refrigeration, Inc. free and timely access to areas and equipment, and allow Rudy's Commercial Refrigeration, Inc. to start and stop the equipment as necessary to perform required services. All planned work under this Agreement will be performed during Rudy's Commercial Refrigeration, Inc.'s normal working hours.
  3. Customer will promptly pay invoice in full within ten (10) days of receipt. Should a payment become thirty (30) days or more delinquent, Rudy's Commercial Refrigeration, Inc. may stop all work without notice and the all amounts shall become due and payable immediately upon demand.
  4. Any alteration to, or deviation from, this Agreement involving extra work, cost of material or labor will become an extra charge (fixed-price amount to be negotiated or on a time-and-material basis at Rudy's Commercial Refrigeration, Inc. rates then in effect) over and above the sum stated in this Agreement.
  5. In the event Rudy's Commercial Refrigeration, Inc. must commence legal action in order to recover any amount payable under this Agreement, Customer shall pay Rudy's Commercial Refrigeration, Inc. all court costs and attorneys' fees incurred by Contractor.
  6. Rudy's Commercial Refrigeration, Inc. shall not be liable for any delay, loss, damage or detention caused by unavailability of machinery, equipment or materials, delay of carriers, strikes, lockouts, civil or military authority, priority regulations, insurrection or riot, action of the elements, forces of nature, or by any cause beyond its control.
  7. To the fullest extent permitted by law, Customer shall indemnify and hold harmless Rudy's Commercial Refrigeration, Inc., its agents and employees from and against all claims, damages, losses and expenses, including but not limited to attorneys' fees, arising out of or resulting from the performance of work hereunder, provided that such claim, damage, loss or expense is caused in whole or in part by any active or passive act or omission of Customer, anyone directly or indirectly employed by Customer, or anyone for whose acts Customer may be liable, regardless of whether it is caused in part by the negligence of Rudy's Commercial Refrigeration, Inc..
  8. Rudy's Commercial Refrigeration, Inc.' obligation under this proposal and any subsequent contract does not include the identification, abatement or removal of any asbestos products, mold, or other hazardous substances. In the event such products or substances are encountered, Rudy's Commercial Refrigeration, Inc.' sole obligation will be to notify the Owner of the existence of such products and materials. Rudy's Commercial Refrigeration, Inc. shall have the right thereafter to suspend its work until such products or materials and the resultant hazards are removed. The time for completion of the work shall be extended to the extent caused by the suspension and the contract price equitably adjusted.
  9. Under no circumstances, whether arising in contract, tort (including negligence), equity or otherwise, will Rudy's Commercial Refrigeration, Inc. be responsible for loss of use, loss of profit, increased operating or maintenance expenses, claims of customer's tenants or clients or any special, indirect or consequential damages.
  10. Included in this agreement, if applicable is the cost to recover and recycle the refrigerant in the equipment listed in this proposal, in compliance with the Clean Air Act of 1990. Rudy's Commercial Refrigeration, Inc. will comply with regulations that prohibit intentional venting of Hydro chlorofluorocarbons (HCFCs) and Chlorofluorocarbons (CFCs), which took effect July 1, 1992.

In the event that additional work is needed that is not covered by this agreement, the appropriate hourly rate will be applied as stated under Service Calls.
